Terms of Service

NecronomiComm (the "Service") is operated by Basement Yeti LLC, a Georgia limited liability company ("we", "us"). These Terms of Service ("Terms") govern your use of the Service, which helps web developers and agencies ("you") find local businesses and organizations whose websites may benefit from modernization, by scoring publicly available signals. A paid account is a "Subscriber". By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who may use the Service

You must be at least 18 years old and able to form a binding contract, and you must use the Service for business purposes. You are responsible for everything done under your account. Provide accurate information, keep your password secure, and tell us promptly of any unauthorized use.

2. What the Service does

The Service discovers businesses and organizations from public data, computes an automated "modernization score" from public website signals, and generates draft outreach materials (reports, action plans, and pitches). Scores and findings are automated estimates for research only — they may be incomplete or inaccurate and are not a professional audit.

3. AI-generated content

Some outputs (pitches, action plans, recommendations, and lead scoring) are produced by automated and AI systems. Such output may contain errors or inaccuracies, is informational only, and requires your review before use. It is not legal, tax, accounting, marketing-compliance, or other professional advice. We make no guarantee of any business outcome, ranking, deliverability, response, or conversion. You are responsible for reviewing, editing, and verifying any AI-generated content before relying on it or sending it to anyone.

4. Public business data

Business and location information comes from public sources, primarily © OpenStreetMap contributors (ODbL) and public websites. This information may be outdated, incomplete, or inaccurate and can change at any time. We do not guarantee its accuracy or completeness — for example, a business flagged as having "no website" may in fact have one. You remain responsible for independently verifying any information before relying on it or contacting anyone.

5. Acceptable use

  • Use the leads and generated materials only for lawful business outreach.
  • Any email, call, or message you send is your responsibility. You must comply with all applicable anti-spam, marketing, and privacy laws (e.g. CAN-SPAM, CASL, GDPR/ePrivacy, TCPA), including honoring opt-outs and do-not-contact requests.
  • Do not use the Service to spam, phish, harass, defraud, or mislead anyone.
  • Do not scrape, overload, reverse-engineer, resell, or circumvent limits of the Service; attempt credential or automated attacks; or access data belonging to other users.

6. Accounts, free plan, and subscriptions

A free account may run one scan per week. It shows the full ranked list of leads and unlocks the contact details for a small number of top leads (scored and no-website), so you can confirm the leads are real before subscribing, build a small leads list from them, and download it. The rest of the list, deep audits, outreach pitches, action plans, and an unlimited leads list require a paid subscription. Subscriptions are billed through Stripe on a recurring monthly or yearly basis and renew automatically until cancelled. You can cancel at any time from the billing portal; cancellation stops future renewals and takes effect at the end of the current period. Except where required by law, fees already paid are non-refundable. Prices may change with notice for future billing periods.

7. Third-party services

The Service relies on third parties, each governed by its own terms: Stripe (payments), Google (sign-in and PageSpeed audits), Anthropic (AI-generated copy), an email delivery provider, and hosting/CDN providers. We do not store your payment card details (Stripe handles those) and we do not ask you for any API keys.

8. Intellectual property

The Service — including the software, scoring engine, and our prompts and models — is owned by us and provided under a limited, revocable, non-exclusive license for your business use. Subject to these Terms and the underlying public-data license (ODbL), the reports, action plans, and pitches you generate are yours to use with your own prospects and clients; to the extent we hold any rights in that generated output, we license them to you for that purpose. Any logo or content you upload remains yours, and you grant us the limited right to host and process it to provide the Service. Our name, logo, and branding remain ours.

9. Warranty disclaimer

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, completeness, title, non-infringement, availability, uptime, or compatibility. We do not warrant that scores are correct, that leads are current, or that the Service will be uninterrupted, secure, or error-free.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, lost goodwill, business interruption, service outages, AI inaccuracies, or losses arising from third-party data or services. Our total liability for any and all claims relating to the Service is limited to the greater of the amount you paid us in the twelve months before the claim, or USD $100. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

11. Indemnification

You agree to indemnify and hold us harmless from claims, losses, and expenses (including reasonable legal fees) arising from your use of the Service, the outreach or messages you send, your violation of these Terms, or your violation of any law or third-party right.

12. Export controls & sanctions

You must comply with all applicable export-control and sanctions laws, and you represent that you are not located in, or acting on behalf of anyone in, an embargoed jurisdiction or on a restricted-party list.

13. Force majeure

We are not liable for any delay or failure caused by events beyond our reasonable control, including natural disasters, network or infrastructure failures, third-party provider outages, governmental actions, or labor disputes.

14. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate accounts that violate these Terms or that we reasonably believe create legal or security risk. Sections that by their nature should survive termination (ownership, disclaimers, limitation of liability, indemnification) continue to apply.

15. Governing law & disputes

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law rules, and the state and federal courts located in Georgia have exclusive jurisdiction — except that either party may seek injunctive relief for misuse of the Service or its intellectual property. Where permitted by law, disputes will be resolved by binding individual arbitration, and you and we waive any right to bring or participate in a class action.

16. Changes to these Terms

We may update these Terms; when we do, we will change the version date above and, for material changes, provide reasonable notice. Continued use after an update means you accept the revised Terms.
